Shailja Agarwal
Shailja is a Gold Medallist and an alumna of the West Bengal National University of Juridical Sciences (NUJS), Kolkata. Prior to joining Koyo Law, she worked with leading law firms including Cyril Amarchand Mangaldas, Keystone Partners, and Khaitan & Co.
Shailja focuses on corporate and transactional law and has advised over 95 startups, founders, and investors on mergers and acquisitions, private equity and venture capital investments, corporate restructurings, and founder and investor exits.
She has advised clients across a diverse range of sectors, including SaaS, energy, industrial manufacturing, FMCG, mobility, real estate, food and beverages, pharmaceuticals, information technology, and geospatial technology. She regularly advises on FEMA and foreign exchange regulations in relation to inbound and outbound investments, cross-border transactions, share transfers, cross-border payments, employee stock option plans (ESOPs), and related regulatory matters.
Before focusing on corporate and transactional work, Shailja built a strong commercial disputes background, advising on complex commercial and shareholder disputes, insolvency proceedings, and domestic and international arbitrations. She has appeared before High Courts, Commercial Courts, and other judicial and regulatory fora. Her disputes background continues to inform her transactional practice, particularly in negotiations, drafting, risk allocation, and structuring commercially practical solutions for clients.

Utkarsh Agrawal
Utkarsh Agrawal, is an alumnus of West Bengal National University of Juridical Sciences (NUJS), Kolkata (gold medalist), and has completed his post-graduate programme (PGP) from Indian School of Business (ISB), Hyderabad on scholarship (Dean’s list and merit list).
He has experience advising on various white-collar crimes, domestic and cross-border insolvency matters, and regulatory matters involving specialised bodies such as the Reserve Bank of India, Securities and Exchange Board of India, Food Safety and Standards Authority of India, Legal Metrology Department, and National Company Law Tribunal, and domestic as well as international arbitrations, including construction arbitrations. He has also assisted companies with setting up corporate processes and policies, both internal and external.
Utkarsh has also worked as a management consultant helping several companies to establish their internal processes. His deep understanding of commercial, technical, and financial aspects allows him to appreciate the nuanced needs of every client he works with. He has advised several start-ups across sectors such as SaaS, FMCG, EdTech, FinTech and so on.
He has previously worked at Cyril Amarchand Mangaldas, ITC and Accenture Strategy.
